In Company Law (CIL 306) we are going to learn how the concept of company came into existence, the types of company available under the Nigerian law and the laws regulating the existence of the different types of company. A company can only be formed (born) in accordance with the provisions of the Company and Allied Matters Act (CAMA 1990 - the Act may soon be repealed for a new one about to be signed into law). The CAMA through the Corporate Affairs Commission guides as to how When formed the law regulates how it will function (or be nurtured) and how it could be modified (merger, acquisition or re-arrangement) or laid to rest (buried) when no longer needed. Like Professor Sodipo describes it, a company upon formation exists like a masquerade carried about by some people under it known as subscribers.
